# Penfolio Studio — Terms of Service **Effective Date:** October 12, 2026 **Last Updated:** October 12, 2026 **Version:** 1.0 ## 1. Introduction and Agreement Welcome to Penfolio Studio. These Terms of Service ("Terms") govern your access to and use of the Penfolio Studio website, application, and related services at https://penfoliostudio.com (collectively, the "Service"). Penfolio Studio is operated by **Rhiannon Barney**, an individual sole proprietor located in Washington State, United States ("Penfolio Studio," "Penfolio," "we," "us," or "our"). By registering an account, subscribing, or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree to these Terms, you must not use the Service. ## 2. Description of Services Penfolio Studio is a subscription-based publishing management software platform for independent authors and small publishing businesses. The Service provides tools for: - Managing pen names, books, editions, and series. - Organizing production schedules and publication plans. - Importing supported publishing and royalty reports. - Analyzing publishing income, sales, and Kindle Unlimited activity. - Maintaining manuscript information and uploaded documents. - Tracking characters, relationships, worldbuilding, plot threads, and series continuity. - Managing publishing tasks and workflows. - Generating reports and structured story reference exports. Penfolio is not a publishing house, literary agency, accounting firm, or legal advisory service. We do not guarantee publishing success, book sales, royalty income, or financial results. ## 3. Eligibility and Account Registration You must be at least 18 years old, or the age of legal majority in your jurisdiction, to register an account. You agree to provide accurate registration information and to keep your account credentials secure. You are responsible for activities conducted through your account except where applicable law provides otherwise. You must promptly notify Penfolio of suspected unauthorized access. We may require email verification or additional security measures. You may not impersonate others, create fraudulent accounts, circumvent subscription requirements, or access another user's private information without authorization. ## 4. Subscription Plans Penfolio Studio offers the following monthly subscription plans: | Plan | Monthly Price | Qualifying Monthly Publishing Income | |---|---|---| | Free | $0 USD | Less than $1,000 | | Growing Author | $5 USD | $1,000 to less than $3,000 | | Established Author | $15 USD | $3,000 to less than $6,000 | | Professional Author | $50 USD | $6,000 or more | Subscription pricing is based on qualifying publishing income and is not a royalty-sharing agreement. Penfolio does not take a percentage of an author's book royalties. Customers select an income bracket in good faith when enrolling. Income eligibility may be reviewed in accordance with the published pricing policy. We will disclose any material changes to eligibility, prices, or billing terms before they take effect, as required by applicable law. Penfolio does not require customers to grant direct access to Amazon KDP accounts to register. ## 5. Payments and Recurring Billing Paid subscriptions are processed through Stripe. By purchasing a paid subscription, you authorize recurring monthly charges at the price disclosed during checkout until cancellation takes effect. Applicable taxes, if any, will be disclosed in accordance with applicable requirements. Penfolio does not intentionally store complete payment card numbers or card security codes. You are responsible for maintaining valid payment details. If a payment fails, we may request updated payment information and apply the access policies disclosed to you. We will not automatically delete your publishing records solely because a payment fails. ## 6. Subscription Cancellation You may cancel your paid subscription at any time using the Billing & Subscription settings within your account. Two cancellation options are available. ### Option A — Cancel at the End of the Current Billing Period You may cancel future automatic renewals while retaining paid access through the end of your already-paid billing period. No refund is issued for unused time under this option because access continues until the billing period expires. ### Option B — Cancel Immediately and Receive a Prorated Refund You may instead choose to end your paid subscription immediately and request an automatic prorated refund for the eligible unused portion of your prepaid subscription period. The refund calculation considers: - The actual billing-period start and end timestamps. - The remaining unused time. - The eligible amount actually paid. - Discounts and applicable adjustments. - Previous refunds. - Applicable tax treatment. The eligible refund amount is displayed before cancellation is confirmed. Following confirmation, Penfolio will automatically initiate the eligible refund through Stripe, ordinarily to the original payment method. The time required for funds to appear depends on the payment method, financial institution, and Stripe's processing requirements. Penfolio will provide available confirmation of the cancellation and refund status. If an automatic refund cannot be processed, customers may contact support for assistance. These automatic refund arrangements apply once the corresponding billing functionality has been fully activated. ## 7. Additional Refund Requests Customers may contact us regarding billing errors, duplicate charges, failed refunds, or other payment concerns. Refund requests may be submitted through the applicable account support tools or by emailing: **azebagaming@gmail.com** Requests not covered by the automatic unused-time refund option will be reviewed individually. Nothing in this policy limits refund or consumer rights provided by applicable law. ## 8. Access Following Cancellation Cancellation of a paid subscription does not automatically delete a customer account. Publishing records, manuscripts, and other stored information are not automatically deleted solely because a subscription is canceled. Continued application access and data export availability are governed by the account-access and retention policies disclosed within the Service. Customers may separately request account closure or deletion. ## 9. Ownership of Customer Content Customers retain all intellectual property rights they possess in content uploaded to Penfolio, including manuscripts, covers, publishing records, and story information. Uploading content does not transfer copyright ownership to Penfolio. Customers grant Penfolio a limited, non-exclusive license to store, process, display, reproduce, and transmit submitted content solely as reasonably necessary to provide authorized services, maintain operations and security, comply with law, and fulfill customer requests. Customers represent that they have the necessary rights to upload and process their content. Penfolio does not independently publish, sell, or distribute customer manuscripts. ## 10. Customer Privacy and Confidential Information Penfolio may process unpublished manuscripts, publishing plans, sales reports, financial records, and other commercially sensitive information. We implement reasonable security measures intended to protect this information and restrict unauthorized access. Authorized operational access may occur where necessary for technical support, security, legal compliance, or other purposes disclosed in the Privacy Policy. No online service can guarantee absolute protection from unauthorized access or service interruptions. ## 11. Publishing Analytics and Financial Information Penfolio may provide royalty estimates, sales analytics, financial summaries, Kindle Unlimited statistics, and related business information. Results may be affected by reporting delays, incomplete imports, revisions, currency conversions, or third-party data limitations. Reports provided by Amazon KDP or other publishers and distributors remain authoritative regarding payments and contractual royalty obligations. Penfolio does not provide professional tax, accounting, financial, or legal advice. ## 12. Data Exports and Backups Penfolio may provide downloadable reports, metadata exports, and workspace backup functionality. Some exports and backups may not include the underlying contents of uploaded files, such as manuscripts, covers, or documents. Customers are encouraged to maintain independent copies of important publishing materials. We do not guarantee that metadata-only backups can restore an entire workspace or all uploaded files. ## 13. Acceptable Use Customers may not: - Access another user's account without authorization. - Circumvent authentication, billing, or security controls. - Upload malicious software. - Interfere with the operation of the Service. - Exploit vulnerabilities or attempt unauthorized data extraction. - Abuse refund, support, email, or automated processes. - Use the Service for fraud or unlawful activities. - Upload content they have no legal right to use. We may take proportionate measures to address abuse, including access restrictions or suspension, subject to applicable law. ## 14. Third-Party Services Penfolio relies on third-party providers for certain features. These may include: - Base44 for application hosting and infrastructure. - Stripe for payment and subscription processing. - Cloudflare Turnstile for bot and abuse prevention. - Authentication and email-delivery providers. Third-party services may maintain separate terms and privacy policies. Optional third-party integrations may require separate authorization. ## 15. Intellectual Property of Penfolio The Penfolio Studio software, branding, interface, original documentation, and related proprietary materials belong to Rhiannon Barney or applicable licensors. A hosted subscription grants a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. It does not grant ownership of the software or source code. Separately distributed Base44 templates may be governed by additional license terms. ## 16. Service Availability We aim to provide reliable service but cannot guarantee uninterrupted availability. The Service may be updated, modified, temporarily unavailable, or affected by third-party outages. Material changes affecting paid features or customer rights will be communicated as required by applicable law. ## 17. Account Suspension and Termination We may suspend or terminate access for serious violations of these Terms, fraud, significant security threats, or other lawful reasons. Where appropriate, we will provide notice and an opportunity to resolve the issue. Customers may request account closure through available account tools or support. Account closure is subject to applicable privacy and record-retention requirements. ## 18. Disclaimers To the extent permitted by applicable law, Penfolio is provided on an "as available" basis. We do not guarantee specific publishing results, uninterrupted operation, or freedom from every software defect. Nothing in these Terms excludes warranties or statutory rights that cannot lawfully be excluded. ## 19. Limitation of Liability To the extent permitted by applicable law, Penfolio is not liable for indirect, consequential, special, or incidental losses arising from use of the Service, including lost publishing income or business opportunities. Subject to liabilities that cannot legally be limited, aggregate liability arising from the Service will not exceed the greater of: - Fees paid to Penfolio during the preceding twelve months; or - $100 USD. This provision is subject to applicable consumer-protection laws and should receive legal review before publication. ## 20. Governing Law and Disputes These Terms are governed by the laws of Washington State, United States, except where mandatory laws applicable to a customer require otherwise. Customers are encouraged to contact Penfolio to attempt an informal resolution before pursuing formal remedies. Nothing in these Terms restricts rights that cannot lawfully be waived. These Terms do not require binding arbitration. ## 21. Changes to These Terms Penfolio may update these Terms to reflect changes in services, legal requirements, or business operations. We will update the revision date and provide notice of material changes where required. Where renewed acceptance is necessary, customers will be asked to accept the updated Terms. ## 22.
